The name of this organization shall be “The Association of Washington Executive Broadcast Engineers.” (WEBE)
The object of this organization is to promote and advance the principles of the Broadcast Engineering Profession.
A.
Members: Members are to be selected from persons in the broadcasting industry and allied fields including satellite, cable and other broadband industries. who Members will have held at least two years of service in technical departments. Membership shall be restricted to two (2) persons from any identifiable division of a corporation or organization and limited to a total of (3) persons from a corporation or organization. Members shall have no union affiliation. Membership shall continue unless terminated for good and sufficient reason at the discretion of a majority of the total membership. Members shall have full voting privileges in the association.

B.
Associates: Associates are to be selected from persons in the broadcasting industry and allied fields including satellite, cable and other broadband industries, and engineers and sales engineers from manufacturers, representatives, distributors and dealers to the broadcast and broadband industry. who Associates will have held at least two years of service in technical departments. Associate memberships shall be restricted to three persons from a corporation or organization which already has filled its quota of active members in the Association. Associates shall have no union affiliation. Associate Membership shall continue unless terminated for good and sufficient reason at the discretion of a majority of the total membership. Associates shall have no voting privileges in the Association

C. Member Emeritus: Member Emeritus are to be selected from any former active member or Associate in the Association at the time of the individuals’ retirement from active work in the Broadcasting Industry. Election to this category shall be by two-thirds vote of the membership.
On an individual basis, admission of individuals, not conforming precisely to article III, may be made by a two-thirds vote of the Members. A new prospect may be proposed for membership by any Member in good standing at a regular monthly meeting. At the next monthly meeting the members shall vote on membership for the individual. Upon affirmation vote by the Members, the Secretary shall write a letter to the proposed Member extending an invitation to join the Association.

The officers of this organization shall consist of a President, Vice President, and Secretary-Treasurer. These officers shall constitute the governing body. The officers shall be elected from active Members and shall serve for a term of one year or until their successors are duly elected and installed.

Regular meetings shall be held once a month on the second Tuesday of each month. The President has the power to call a special meeting time.
The Constitution may be amended at any regular meeting of the organization by a two-thirds vote of all members present, provided that a copy of such proposed amendment shall have been mailed to each member at least fifteen days before such meeting.
An annual meeting, known as the WEBE convention, shall be held during the Fall of each year. The President shall appoint a committee of three (3) in the Spring to make necessary arrangements for the convention. The committee shall select the time, place, and agenda for the convention.

Section 1. The President shall appoint a Nominating Committee of three Members at the November meeting for the purpose of nominating a slate of officers.
Section 2. The Nominating Committee shall report to the membership its slate of proposed officers at the December meeting. Such a slate may consist of one or more names of Members for each Office. No name shall be proposed without the consent of the candidate.
Section 3. Officers shall be elected by a majority vote of the membership present. Such election shall be held at the January meeting and such elected officers shall take office at the close of the February meeting.
Section 4. The election of officers shall be by secret ballot.

Section 1. President: It shall be the duty of the President to preside at meetings of the organization and to perform such other duties as ordinarily pertain to the office.
Section 2. Vice President: It shall be the duty of the Vice President to preside at meetings in the absence of the President.
Section 3. Secretary-Treasurer: It shall be the duty of the Secretary-Treasurer to issue notices of all meetings, conduct all general correspondence as directed by the organization, have custody of all correspondence, record the minutes of the meetings, and to have custody of all funds, accounting therefore to the Organization and the Officers. The Secretary-Treasurer shall preside at meetings when both the President and Vice-President are absent. The Secretary-Treasurer will render an annual financial report at the February meeting.

The initiation fee into the Association shall be twenty dollars ($20.00) and payable by the individual upon acceptance of the invitation to join the organization as a Member or Associate.
Annual dues shall be twenty-five dollars ($25.00) and payable at the February meeting by Members and Associates. New Members and Associates would pay annual dues at the time they join the organization regardless of the time of year.
Members Emeritus shall pay an annual dues of eight dollars ($8.00) which is payable at the February meeting.

Twenty-five percent (25%) of the Members in the Association shall constitute a quorum at all meetings of the organization providing an officer is present.

By a two-thirds vote of the Members present, this organization may, at its option, elect to Honorary membership any individual. Honorary Membership shall be conferred in recognition of achievement or service without prerequisite or obligation. Honorary Members shall not have voting privileges in the organization but will receive the minutes, reports, and other publications of the Association.

These Bylaws may be amended at any regular meeting of the organization by a two-thirds vote of all members present, provided that a copy of such proposed amendment shall have been mailed to each member at least fifteen days before such meeting.
To retain membership in WEBE it will be required that all regular members attend at least one meeting per year. Members failing this requirement will be transferred to associate status.
The President of WEBE normally is asked to serve as President of the Board for WEBE Frequency Coordinators, Inc.. Should the President of WEBE not be employed in the broadcast industry (defined as working for an employer who holds a valid FCC broadcast license), then this responsibility will fall to the next officer on the WEBE board who meets such qualification. Should no officer of WEBE be employed in the broadcast industry, then WEBE will elect a representative from its membership who meets such qualification to fulfill this obligation.
